These Terms of Service (the "Terms") govern access to and use of the website, platform, and services provided by DebloMassi Inc. ("DebloMassi," "we," "us," or "our").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. About DebloMassi
DebloMassi operates as a Merchant of Record (MoR) for eligible digital products and services. As Merchant of Record, DebloMassi is the legal seller to Buyers for transactions processed through our checkout and assumes responsibility for:
- Payment processing
- Invoicing and receipts
- Indirect tax collection and remittance (where applicable)
- Refunds, disputes, and chargebacks
DebloMassi resells digital products only — software, licences, digital downloads and in-app content. We do not process physical goods, shipped items or services that carry delivery risk, and we do not accept any category excluded by our Merchant Acceptance Policy or by our payment partners.
Flow of funds. A Buyer pays DebloMassi at checkout. Our payment service provider settles those funds to a DebloMassi-controlled bank account. From there DebloMassi, or the affiliate that operates merchant relationships and payouts, settles each Supplier's share — the price less our fees, refunds, chargebacks and any reserve — through regulated disbursement providers, by bank transfer or in USDC. Funds are never forwarded to a third party without passing through a DebloMassi-controlled account and the payout review described in section 5.
DebloMassi provides its Services to:
- Buyers, who purchase products via our checkout; and
- Suppliers, who offer digital products that are resold by DebloMassi.
2. Scope of These Terms
These Terms apply to:
- All visitors to our website
- All Buyers and Suppliers using the Services
- Any access to dashboards, APIs, or related tools
Additional policies form part of these Terms, including:
- Buyer Terms
- Supplier Terms
- Refund Policy

5. Merchant of Record Structure: Reseller and Payment Agent Terms
Effective 8 September 2026. This section applies to every merchant account and every sale processed through DebloMassi.
This section sets out how DebloMassi Inc. ("DebloMassi", "we", "us") acts for every merchant that sells through a DebloMassi checkout ("Merchant", "you"). It forms part of these Terms of Service and applies to every Merchant account and every sale processed through DebloMassi from 8 September 2026. Where it conflicts with another section of these Terms, this section prevails for the matters it covers. "Products" are the digital products, software, licences and services you offer through a DebloMassi checkout; "Customers" are the buyers of those Products.
5.1 Role of DebloMassi
- DebloMassi operates a checkout, billing and payment platform as a Merchant of Record (MoR). DebloMassi acts in two capacities at once: (a) as the reseller and seller of record of your Products to Customers, and (b) as your authorized agent for receiving payments.
- DebloMassi does not act as a passive payment intermediary, marketplace, escrow service or money transmitter between you and Customers.
5.2 Buy-sell (reseller) structure
- For every order placed through a DebloMassi checkout, DebloMassi purchases the Product from you and immediately resells it to the Customer in DebloMassi's own name. Two sales take place at the same moment: a sale from you to DebloMassi and a sale from DebloMassi to the Customer.
- DebloMassi is the seller of record and the Customer's contracting party for that sale. The Customer's purchase contract is with DebloMassi. The licence or right to use the Product originates from you and passes to the Customer through DebloMassi.
- You grant DebloMassi a non-exclusive, worldwide right to purchase, resell, distribute, deliver and, where the Product is licensed software or content, sublicense your Products to Customers for this purpose. You keep all intellectual property in your Products.
- The price shown at checkout is DebloMassi's price to the Customer. The purchase price DebloMassi owes you for each sale is that price less the fees shown in your dashboard, refunds, chargebacks and the adjustments described in these Terms.
5.3 Receipts, invoices and the Customer relationship
- Every receipt, tax invoice and payment statement for a sale identifies DebloMassi as the seller. You are identified on the receipt as the provider of the Product and as the contact for product questions.
- You will not issue your own invoice or receipt for a sale processed by DebloMassi, and you will not represent yourself to the Customer as the seller of that sale.
- The Customer's obligation to pay for a sale is fully discharged when the Customer's payment is received by DebloMassi.
- The DebloMassi Buyer Terms and Refund Policy govern the sale to the Customer.
5.4 Responsibilities DebloMassi assumes for each sale
- Payment acceptance, fraud screening and PCI-compliant handling of card data.
- Chargebacks and disputes: DebloMassi is the merchant facing the card networks and conducts the dispute process. You must supply the evidence only you hold (proof of delivery, customer communication, delivery logs) within 36 hours of a request in your dashboard; the dispute fee and dispute-rate pricing shown in your dashboard apply.
- Refunds: DebloMassi refunds Customers under its Refund Policy. Refunded amounts and related fees are deducted from your balance.
- Indirect taxes: DebloMassi determines, collects and remits sales tax, VAT, GST and comparable indirect taxes on sales to Customers wherever DebloMassi is required to do so, and issues the corresponding tax invoices. You remain responsible for your own income taxes and for any taxes on the payouts you receive.
5.5 Your responsibilities
- Rights and legality: you own or hold every right needed to sell the Product; it is lawful, as described, not in a category excluded by the Merchant Acceptance Policy, and you comply with all laws that apply to you, including sanctions and export rules.
- Delivery: you deliver the Product to the Customer immediately after DebloMassi confirms payment, or within the time stated at checkout, and you keep delivery records.
- Support and proof: you provide product support and fulfilment, and you supply proof of delivery on request. While a proof-of-delivery request is open, the related funds stay on hold.
- Accuracy: product names, descriptions, prices and your business details are accurate and kept current.
- Fees: you pay the fees shown in your dashboard and on the pricing page — the customer fee, the payout fee, the fixed per-transaction fee, the dispute fee and any dispute-rate adjustment, and refund handling. DebloMassi deducts them before payout.
- Digital products only: DebloMassi resells digital products, software, licences and digital content. Physical goods, shipped items and services that carry delivery risk are outside these Terms and outside your account.
- Onboarding evidence: before your account is activated you prove control of the website domain, provide at least three months of prior payment-processing statements, pass a review of your storefront and marketing material, and register a payout account in your own name that matches the details we hold. An application without processing history is declined.
5.6 Appointment as payment agent (agent of the payee)
- You appoint DebloMassi as your authorized agent to receive payments from Customers on your behalf, and DebloMassi accepts that appointment.
- Receipt of a Customer's payment by DebloMassi is receipt of that payment by you. You will not seek payment for that sale from the Customer again, and the Customer's obligation to pay is satisfied by paying DebloMassi.
- DebloMassi holds the amounts it collects as your agent and pays out your share — the purchase price DebloMassi owes you under the buy-sell structure above, less fees, refunds, chargebacks, dispute fees and any agreed reserve — under the payout terms in your dashboard.
- DebloMassi is not a bank, deposit-taking institution or money transmitter for you. The balances shown in your dashboard are amounts DebloMassi owes you under these Terms; they are not deposits and do not earn interest.
- The agency is limited to receiving and settling payments. DebloMassi is not otherwise your agent and has no authority to bind you.
5.7 Payouts, holds and reserves
- Sales become withdrawable after the availability period shown in your dashboard and are paid to your registered payout method. Two-factor authentication is required to request a payout and to change the payout destination.
- DebloMassi may hold or reserve funds for open disputes, proof-of-delivery requests, risk review, a dispute-coverage reserve, a security deposit or legal requirements, and may set off amounts you owe against your balance.
- Every payout is reviewed before it is released and is reconciled against the underlying transactions. DebloMassi does not run unreviewed automatic payouts.
- The payout destination must be in your own name and must match the information we hold for you. Payouts are made by DebloMassi or its affiliate through regulated disbursement providers, by bank transfer or in USDC, on the schedule shown in your dashboard.
- A rolling reserve of roughly five days of processing volume is held against refunds and chargebacks. Where risk review requires it, an additional security deposit or a higher reserve applies to your account.
- After termination, final settlement follows the chargeback window, which can be up to 120 days from the last sale. Sales completed before termination remain governed by this section.
5.8 Monitoring, reserves and review
- DebloMassi monitors every account against its own history: processing volume, average order value, transaction frequency and customer geography. A sudden change in any of them flags the account for review.
- While a review is open, payouts for the affected period are held. We ask you to explain what changed, for example a launch, a promotion or a new marketing channel, and we re-check your storefront and marketing material to confirm that the products sold are still the digital products approved at onboarding.
- If the explanation holds, the account continues, with an adjusted reserve where appropriate. If it does not, or if the review points to transaction laundering, a changed business model or other fraud indicators, the account is suspended and balances are held to cover open liabilities.
- Your dispute rate is measured continuously. From 0.40% the pricing tier rises; at 0.70% and above we require a written plan and may increase your reserve; at 1.00% and above the account is terminated and the remaining balance is held for as long as open liabilities require.
- We review the merchant portfolio periodically (products, traffic sources, dispute trends, revenue patterns) and adjust reserves or end accounts accordingly.
5.9 Geographic restrictions
- DebloMassi does not onboard merchants based in, and does not sell to customers located in, the following countries: Iran, North Korea, Cuba, Syria, Sudan, South Sudan, Eritrea, Central African Republic, Israel, Russia, Belarus, Venezuela, Myanmar, Afghanistan, Yemen, Libya, Somalia, Iraq and Lebanon, nor Saudi Arabia, the United Arab Emirates, Kuwait, Qatar, Bahrain and Oman, nor Crimea, Donetsk and Luhansk.
- The merchant application refuses a business registered in one of those countries and requires you to confirm both that you do not operate from one and that you have no customers there. You are responsible for keeping your own traffic and marketing out of them.
- You must not route, redirect or otherwise present orders from those places to a DebloMassi checkout. Doing so is a breach of these Terms and grounds for immediate suspension.
5.10 Relationship of the parties
- The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment or franchise. DebloMassi acts in its own name towards Customers and as your agent only for receiving and settling payments.
6. Payments, Pricing, and Taxes
All prices are displayed at checkout and may include applicable taxes.
As Merchant of Record, DebloMassi may:
- Determine the final transaction amount charged to Buyers
- Collect and remit applicable indirect taxes (VAT, GST, Sales Tax, etc.)
- Withhold amounts as required by law or payment network rules
Fees and pricing may be set, amended, or otherwise modified by DebloMassi at any time, in its sole discretion, without prior notice, and on an individual per-account basis. Continued use of the Services after a pricing change constitutes acceptance of that change. Pricing is additionally adjusted by the merchant's measured dispute rate per the Dispute Rate Pricing table on the pricing page: the highest applicable tier determines the per-dispute fee and any additional merchant fee (not cumulative), and once the dispute rate drops, the lower pricing applies again automatically.
7. Refunds and Chargebacks
Refunds are governed by the Refund Policy.
You agree to contact DebloMassi before initiating a chargeback where possible. Excessive or abusive chargebacks may result in account restrictions or termination.
DebloMassi reserves the right, at any time and in its sole discretion, to reverse or refund any transaction — in whole or in part and without prior notice — that it suspects to be fraudulent, unauthorized, unlawful, or otherwise connected to suspicious behaviour. DebloMassi shall not be liable for any loss arising from such a reversal or refund made in good faith.
8. Saudi Arabia: Mandatory Disclosures and Consumer Rights
We do not sell into the Kingdom, or anywhere else in the GCC. DebloMassi neither onboards merchants based in Saudi Arabia, the United Arab Emirates, Kuwait, Qatar, Bahrain or Oman, nor sells to customers located there. Merchants must not route or present orders from those places to a DebloMassi checkout; where we identify such an order we refuse or reverse it and review the merchant's account (section 5.10).
This section therefore applies to the extent a purchase is nonetheless made from the Kingdom, and it is given in addition to the rest of these Terms. Where the Saudi E-Commerce Law (Royal Decree No. M/126), its Implementing Regulations, the Consumer Protection rules or any other mandatory Saudi law give a consumer greater protection than these Terms, that law prevails and nothing here limits it.
8.1 Who is selling to you
DebloMassi is the Merchant of Record and therefore the legal seller of the product you buy at our checkout, as set out in section 5. The merchant who supplies the product is named on the product page, in your receipt and on your invoice as the provider of the product and the contact for product questions. Our contact details are in section 17 and are repeated in Arabic in section 18.
8.2 What we tell you before you pay
Before you complete an order, our checkout shows you:
- who is selling (DebloMassi) and who provides the product;
- a description of the product and what you receive;
- the total amount payable, including every fee and any applicable tax, and the currency in which you are charged;
- the payment methods accepted;
- how and when the product is delivered or made accessible;
- the cancellation and return rules in section 8.4; and
- how to reach us and how to complain (section 8.6).
You receive a confirmation with a receipt and a tax invoice by email after payment. You can retrieve any charge, receipt and invoice at any time at deblomassi.com/lookup using the email address you paid with.
8.3 Prices, currency and tax
- The price shown at checkout is the total you pay. Any processing fee is shown separately before you confirm.
- The currency you are charged in is shown at checkout. Where you pay in a currency other than the one your card is issued in, your bank may apply its own conversion rate and fees.
- Where DebloMassi is required to charge value added tax, it is calculated at the applicable rate (15% in the Kingdom), shown before payment and stated separately on the tax invoice.
- Card payments in the Kingdom are processed through licensed payment service providers over mada, Visa, Mastercard and Apple Pay, as offered at checkout.
8.4 Delivery, cancellation and returns
- Delivery. The products sold at our checkout are digital. They are delivered or made accessible immediately after payment is confirmed, or within the period stated at checkout.
- Failure to deliver. If the product is not delivered within fifteen (15) days from the date of the contract, you may cancel the contract and recover what you paid, together with any costs you incurred because of the delay.
- Seven-day right of return. The Saudi E-Commerce Law gives a consumer the right to withdraw from a contract within seven (7) days of the date of the contract where the product has not been used or benefited from.
- Digital content exception. That right does not apply to software and digital content that is downloaded, activated or made accessible immediately. By completing a purchase of such a product you expressly consent to immediate delivery and acknowledge that the seven-day right of withdrawal falls away once delivery or access has begun.
- Your rights are unaffected where the product is defective, does not match its description, or is not delivered. In those cases you are entitled to a remedy or a full refund regardless of the exception above, and our Refund Policy explains how to claim it.
- Refunds are returned to the payment method you used. The time it takes to appear on your statement depends on your issuing bank, typically 5 to 15 business days for mada and card payments.
8.5 Card security and the charge on your statement
Card details are entered on, and processed by, PCI DSS certified payment service providers. DebloMassi never receives or stores a full card number; our records hold only the card brand, the first six and last four digits, and the expiry, which is what you see on your receipt. If you do not recognise a charge, look it up at deblomassi.com/lookup or write to us before contacting your bank — we can usually identify and resolve it the same day.
8.6 Complaints
Write to payments@deblomassi.com with your order number and the email address used at checkout. We acknowledge complaints within five (5) business days and aim to resolve them within thirty (30) days.
If you are not satisfied with our answer, you may raise the matter with the Saudi Ministry of Commerce through the unified call centre on 1900 or the Balagh Tijari application, or through the Maroof platform. Complaints about a card payment itself may also be raised with your issuing bank.
8.7 Language
A summary of the information required by the Saudi E-Commerce Law is provided in Arabic in section 18. A full Arabic version of these Terms is available on request at payments@deblomassi.com.
9. Intellectual Property
All content, software, branding, and materials owned by DebloMassi ("DebloMassi IP") are protected by intellectual property laws.
You may not:
- Copy, modify, distribute, or exploit DebloMassi IP
- Use our trademarks without prior written consent
Suppliers retain ownership of their own products and content.
10. Suspension and Termination
We may suspend or terminate access to the Services immediately if we reasonably believe that you:
- Breached these Terms or any incorporated policy
- Engaged in fraudulent, illegal, or abusive conduct
- Posed legal, financial, or reputational risk
- Are required to be suspended by law or payment partners
Termination does not relieve you of obligations incurred prior to termination.
Without limiting the foregoing, DebloMassi may suspend, restrict, or permanently close any account at any time, with immediate effect, with or without cause, and with or without prior notice, where it considers this necessary in its sole discretion — including for suspected fraud or suspicious behaviour, risk exposure, chargeback levels, requirements of payment schemes or regulators, or breach of these Terms. Funds may be withheld for the period reasonably required to cover refunds, chargebacks, and other exposure before any remaining balance is released.
11. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available."
DebloMassi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the fullest extent permitted by law:
- DebloMassi shall not be liable for indirect, incidental, consequential, or punitive damages
- DebloMassi' total liability arising from the Services shall not exceed the fees earned by DebloMassi for the applicable transaction
Some jurisdictions do not allow certain limitations; those limits apply only to the extent permitted.
13. Indemnification
You agree to indemnify and hold harmless DebloMassi and its affiliates from claims, damages, losses, and expenses arising from:
- Your breach of these Terms
- Your misuse of the Services
- Your product, content, or conduct (if you are a Supplier)
14. Privacy and Data Protection
Our collection and use of personal data are governed by the Privacy Policy, which forms part of these Terms.
15. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on our website with a revised "Last Updated" date.
Continued use of the Services constitutes acceptance of the updated Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law principles.
You agree that any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware, unless mandatory consumer laws provide otherwise.
This does not deprive a consumer of the protection of the mandatory law of the country in which they are resident. In particular, a Buyer resident in the Kingdom of Saudi Arabia keeps every right granted by the Saudi E-Commerce Law and the Consumer Protection rules, and may bring a claim before the competent Saudi authorities and committees.
